We strive to maintain high availability of our services but cannot guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of our services without liability.
Payment terms for our services are specified in individual service agreements or proposals. Unless otherwise agreed, payments are due within 30 days of invoice date. Late payments may incur interest charges at the rate of 1.5% per month. We reserve the right to suspend services for overdue accounts after appropriate notice.
All content, software, technologies, and materials provided through our services are the intellectual property of globalhive B.V. or our licensors. This includes but is not limited to software code, documentation, designs, trademarks, and proprietary methodologies. You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of our software.
We are committed to protecting your privacy and personal data in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms an integral part of these Terms. By using our services, you consent to the collection and use of your data as described in our Privacy Policy.
Both parties acknowledge that they may have access to confidential information during the course of our business relationship. We agree to maintain the confidentiality of your proprietary information and expect the same regarding our confidential information, including our methodologies, software, and business processes.
To the maximum extent permitted by law, globalhive B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability for any claims arising from or relating to these Terms or our services shall not exceed the amount paid by you to globalhive in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.
While we strive to provide high-quality services, our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
You agree to indemnify, defend, and hold harmless globalhive B.V., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services, your violation of these Terms, or your infringement of any rights of another party.
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts in Breda, Netherlands. If you are a consumer residing in the European Union, you may also have the right to bring proceedings in the courts of your country of residence.
We encourage resolving disputes through direct communication. If a dispute cannot be resolved informally, we may agree to participate in mediation before pursuing litigation. For consumers in the EU, you may also access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
Either party may terminate the service relationship at any time with appropriate notice as specified in the applicable service agreement. We may immediately terminate or suspend your access to our services if you breach these Terms or engage in conduct that we determine to be harmful to our business or other users. Upon termination, your right to use our services ceases immediately, and we may delete your data in accordance with our data retention policies.
Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the new Terms. We encourage you to review these Terms periodically.
These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and globalhive B.V. regarding your use of our services and supersede all prior agreements and understandings.
